terralayr strengthens its German battery storage development platform through full ownership of its greenfield development joint venture BBD
terralayr, the German-focused energy flexibility and battery storage platform, today announced that it has acquired the remaining stake in BBD (Big Battery Deutschland), its long-standing greenfield battery development joint venture from the Averdung Group, which specialises in energy transition services. The transaction results in full ownership and further strengthens terralayr’s in-house development capabilities and control over its German project pipeline.
Strengthening terralayr’s development engine in Germany
BBD has been terralayr’s core greenfield development partner for several years and has played a central role in originating and advancing utility-scale battery storage projects across Germany. Through the transaction, terralayr internalises a proven development organisation with deep expertise in site origination, permitting, grid processes, and project structuring.
The acquisition brings BBD fully into terralayr and strengthens the company’s in-house development capabilities. While the transaction represents a M&A step, the BBD team has already been operating in close alignment with terralayr’s processes and governance, ensuring continuity and a smooth integration of capabilities. In 2025, BBD successfully sold close to 50 MW of projects to terralayr, giving both parties the confidence to secure full ownership of BBD’s pipeline of over 1 GW and bring the experienced team fully on board.
Building a scaled battery storage platform for the German energy transition
Germany’s power system is undergoing rapid change, driven by continued renewable deployment, electrification, increasing industrial demand, and growing pressure on grid stability. Utility-scale battery storage is emerging as a critical infrastructure component to provide flexibility, balancing, and system resilience.
Against this backdrop and backed by its recent €192M growth equity and €60M debt raises, terralayr sees a growing need (and opportunity) to accelerate the build-out of well-located, permit-ready battery storage projects, making development scale and execution capability increasingly important.
By consolidating its development platform and expanding its greenfield capabilities, terralayr strengthens its ability to originate, prioritise, and deliver battery storage projects in line with system needs and market opportunities. The transaction enhances long-term visibility and control over the company’s development pipeline and supports a disciplined, scalable approach to asset growth.
terralayr today has already over 150 MW of battery storage assets in operation or under construction in Germany, with close to 200 MW at ready-to-build stage, providing a strong execution base for continued expansion.
Focused on execution and long-term value creation
With full ownership of BBD, terralayr further aligns incentives, decision-making, and capital allocation across its development activities. The integrated team will continue to advance projects through permitting and grid readiness, supporting terralayr’s ambition to build and operate a large portfolio of utility-scale battery storage assets in Germany. This portfolio will be managed by terralayr’s software platform LAYR, which virtualizes battery assets and acts as a route-to-market solution. The platform enables participation across ancillary services, wholesale power markets and terralayr’s Virtual Battery Auctions (VBAs), and allows multiple independent optimisers to access the capacity.
